User Agreement

1. About this agreement
This User Agreement (“Agreement”) is between you (the “Customer,” “you”) and Proofsheets (“Proofsheets,” “we,” “us”). By checking the agreement box and submitting payment for a filing, you accept this Agreement. If you do not agree, do not submit a filing.
2. What Proofsheets does
Proofsheets prepares and submits group copyright registration applications for photographs to the United States Copyright Office (the “Copyright Office”) on your behalf. Proofsheets is a filing service. Proofsheets is not a law firm and does not provide legal advice.
3. You authorize us to file on your behalf
You appoint and authorize Proofsheets to act as your agent and correspondent for the purpose of preparing, submitting, and communicating with the Copyright Office about your registration application(s). This includes creating and managing the application, uploading the deposit copies you provide, entering the information you give us, and receiving Copyright Office correspondence related to your filing. You remain the copyright claimant and the owner of your works.
4. Your representations
You represent and warrant that: (a) you are the author of the works, own the copyright in them, or are otherwise authorized to register them; (b) the works are your original work and do not infringe the rights of any other person; (c) all information you provide — including your name, mailing address, and the works' titles and publication or creation dates — is accurate, complete, and current; and (d) you have the right to authorize Proofsheets to file on your behalf. You are responsible for reviewing your filing details before submission.
5. Dates and file metadata
Where you do not supply a date for a work, you authorize Proofsheets to read and use the metadata embedded in your files (such as the capture date) to determine the publication or creation date used in the application. You understand that metadata may reflect when a photo was taken rather than when it was published, and that you are responsible for reviewing and confirming the dates shown before your filing is submitted. Proofsheets relies on the information and files you provide and is not responsible for inaccuracies in them.
6. No guarantee of registration
The decision to grant, refuse, or question a registration is made solely by the Copyright Office. Proofsheets prepares and submits your application; it does not control and does not guarantee that your application will be accepted, the time it will take, or the outcome.
7. Certificates
If your registration is granted, the Copyright Office mails a paper certificate of registration to the claimant's address on file. Certificates are issued and delivered by the Copyright Office; Proofsheets does not issue certificates. Keeping a correct mailing address on file is your responsibility.
8. Fees
The fee shown at checkout is for the Proofsheets service of preparing and submitting your registration. Because we begin work and submit your application to the Copyright Office, fees are non-refundable once your application has been submitted. If we are unable to submit your application, we will refund your fee.
9. Limitation of liability
To the maximum extent permitted by law, Proofsheets' total liability arising out of or relating to the service is limited to the amount you paid Proofsheets for the filing at issue. Proofsheets is not liable for indirect, incidental, or consequential damages, or for outcomes that result from inaccurate or incomplete information you provided.
10. Indemnification
You agree to indemnify and hold Proofsheets harmless from claims, losses, and expenses arising from (a) information or files you provided, (b) your works infringing another's rights, or (c) your breach of this Agreement.
11. Your files
To prepare and submit your registration, Proofsheets stores the reduced-size deposit copies you upload. We use them only to provide the service.
12. Changes to this agreement
We may update this Agreement from time to time. The version in effect at the time you submit a filing applies to that filing.
